Confidentiality + controlled project access
The selected project, its research, methods, prototypes, commercial information and files are Confidential Information disclosed only to evaluate a possible collaboration with PRS.
You may use the material only for that purpose. You must not copy, download, photograph, screen-record, reproduce, reverse engineer, train an AI system on, disclose or make it available to anyone except authorised colleagues bound by equivalent duties.
Access is personal, project-specific, revocable and expires at the time stated with the code. Ownership and all intellectual-property rights remain with the discloser. No licence, endorsement, warranty or obligation to proceed is granted.
Information already lawfully public or independently held is excluded. Disclosure required by law is permitted after prompt notice where lawful. On request or expiry, confidential records must be returned or destroyed.
Confidentiality continues for three years after access ends; trade secrets remain protected while legally qualifying as trade secrets. This agreement is governed by the law of England and Wales and its courts have exclusive jurisdiction.
Electronic records may evidence identity, authority, intent, consent, document version, time, IP address and browser. This business agreement should receive solicitor review before production reliance outside England and Wales.
